DALDEWOLF advises and assists its clients notably on the occasion of the incorporation of companies, the negotiation and the drafting of shareholders/partners agreements, the organization and the holding of meetings of boards of directors and of general meetings, the putting in place of powers of attorney, the conclusion or the implementation of specific operations such as amendments to the by-laws or of the share capital, or in the framework of corporate housekeeping.  

The DALDEWOLF Corporate team are also specialists in mergers and acquisitions. They assist and conduct due diligence investigations, they negotiate and draft the necessary legal documents such as shares purchase agreements or options on shares. Advice and assistance services are also provided to companies in liquidation in the framework of the liquidation operations and the fulfillment of the compulsory liquidation formalities.  

Finally, DALDEWOLF enjoys a significant experience in terms of managing disputes among shareholders/partners or involving company managers and, more generally, of litigation in the corporate area aiming at, for instance, appointing a temporary director ("administrateur provisoire”), excluding or withdrawing of a shareholder/partner, annulling or suspending the effects of decisions of board of directors or of general meeting and questioning the liability of company managers or of its bodies.
